Vendor Agreement Policy

Effective: Sept 2025 NariHaat Retails Pvt. Ltd.

This Vendor Agreement (“Agreement”) sets forth the terms under which vendors (“Seller”) may register and sell retail products on NariHaat.com, operated by NariHaat Retails Private Limited, 713/22, Jhang Colony, Mansarover Colony, Rohtak (124001), Haryana, India.

By registering as a vendor, you agree to comply with this Agreement, NariHaat’s Terms & Conditions, Privacy Policy, and all applicable laws.

Eligibility Criteria

  • Be 18 years or older.
  • Provide valid business/personal identification documents (GSTIN, PAN, Aadhaar, etc.).
  • Have the legal right to sell the physical products listed.
  • Maintain accurate and updated vendor profile information.

Vendor Responsibilities

  • Vendors must ensure all product listings are accurate, legal, and not misleading.
  • Vendors are fully responsible for:
    • Product quality and authenticity.
    • Timely shipping, packaging, and delivery dispatch.
    • Cooperating with customer support and grievance handling.
  • Vendors must not list prohibited or restricted products (counterfeit, illegal, or unsafe items).

Product Listings

  • Vendors must upload clear images, correct descriptions, and transparent pricing.
  • False claims, copyright violations, or misleading ads will lead to immediate suspension or removal.
  • NariHaat reserves the right to review, reject, or remove listings at its sole discretion to protect buyers.

Pricing & Payments

  • Vendors have full control over pricing but must include applicable taxes.
  • NariHaat will collect payments from buyers on behalf of vendors.
  • After deducting commissions and fees, payouts are transferred to the vendor’s registered bank account.

Commissions & Fees

  • NariHaat charges vendors a commission per successful transaction.
  • Additional fees may apply for advertisements, promotional boosts, or premium vendor plans.
  • The commission structure will be transparent and communicated during onboarding.

Order Fulfillment & Shipping

  • Vendors must process and ship orders within the committed timelines (1-2 business days).
  • Vendors must use trusted courier partners (self-arranged or via NariHaat’s integrations).
  • Delays or repeated cancellations may result in financial penalties or account suspension.

Returns, Refunds & Cancellations

  • Vendors must fully comply with NariHaat’s global Return, Refund & Cancellation Policy.
  • Refunds are processed to the buyer by NariHaat once the product return issue is verified.
  • NariHaat oversees dispute resolutions to ensure a fair outcome for both buyer and seller.

Vendor Conduct

  • Vendors must maintain professional and ethical conduct.
  • Vendors strictly must not:
    • Post fake reviews or ratings.
    • Engage in fraudulent activities.
    • Attempt to redirect NariHaat customers outside the platform for direct sales.

Intellectual Property

  • Vendors retain ownership of their unique product content.
  • Vendors grant NariHaat a non-exclusive, royalty-free license to use their listings, logos, and images for marketing and promotional purposes across the web.

Account Suspension

  • NariHaat may suspend or terminate accounts if terms are violated, fraudulent activity is detected, or repeated complaints occur.
  • Vendors with outstanding dues must settle payments before termination.

Liability & Indemnification

  • While NariHaat ensures a secure platform and guarantees the buyer's purchase, the Vendor acts as the primary supplier.
  • The Vendor agrees to indemnify NariHaat against any losses, legal claims, or refunds resulting from the Vendor's product defects, damages, or failure to fulfill orders.

Dispute Resolution

  • Vendor-customer disputes are mediated by NariHaat to ensure swift resolution.
  • Vendor-NariHaat legal disputes are subject to the exclusive jurisdiction of courts in Rohtak, Haryana, India.

Modification of Agreement

  • NariHaat reserves the right to update this Agreement at any time.
  • Vendors will be notified, and continued use of the platform will constitute acceptance of the revised terms.
